IMPORTANT – CAREFULLY READ ALL THE TERMS AND CONDITIONS OF THIS ADD-ON ADDENDUM (THIS “ADDENDUM”) TO THE NEO4J EVALUATION AGREEMENT OR OTHER COMMERCIAL TRIAL OR EVALUATION LICENSE (THE “AGREEMENT”) BETWEEN LICENSEE AND NEO4J, INC. OR NEO4J SWEDEN AB (AS APPLICABLE, “NEO4J”). BY AGREEING TO AN ORDER FORM  OR OTHER DOCUMENT INCORPORATING THIS ADDENDUM, CLICKING “I ACCEPT”, “CREATE” OR PROCEEDING WITH THE INSTALLATION OF THE ADD-ON (“ADD-ON”) FOR NEO4J ENTERPRISE SOFTWARE (“SOFTWARE”), OR USING THE ADD-ON YOU AS AN AUTHORIZED REPRESENTATIVE OF YOUR COMPANY ON WHOSE BEHALF YOU INSTALL AND/OR USE THE ADD-ON (“LICENSEE”) ARE INDICATING THAT YOU HAVE READ, UNDERSTAND AND ACCEPT THIS ADDENDUM WITH NEO4J AND THAT YOU AGREE TO BE BOUND BY ITS TERMS. IF YOU DO NOT AGREE WITH ALL OF THE TERMS OF THIS ADDENDUM, DO NOT INSTALL, COPY OR OTHERWISE USE THE ADD-ON. THE EFFECTIVE DATE OF THIS ADDENDUM SHALL BE THE DATE THAT LICENSEE ACCEPTS THIS ADDENDUM.

  1. Addendum of Agreement.  This Addendum hereby amends and revises the Agreement to incorporate the terms and conditions set forth in this Addendum.  Except as otherwise expressly provided for in this Addendum, the Agreement shall remain unchanged and in full force and effect.  The term “Agreement”, as used in the Agreement and all other instruments and agreements executed thereunder, shall, for all purposes, refer to the Agreement as amended by this Addendum.  All terms and conditions regarding the Software in the Agreement shall also apply to the Add-On, except as modified in this Addendum. If there is a conflict between the terms of the Agreement and the terms of the Addendum, the conflicting terms of this Addendum shall control with respect to the Add-On.
  2. Licensee Representation.  Licensee represents and warrants that Licensee has a valid Agreement in place with Neo4j.
  3. License Grant.  Licensee’s rights to use the Add-On are subject to the same terms and conditions as set forth in the Agreement with respect to the Software, including any associated restrictions on use of the Software.  Licensee’s license to use the Add-On is limited to use in conjunction with Licensee’s authorized use of the Software for the same evaluation or trial term as set forth in the Agreement.
  4. Disclaimers and Liability.  For the avoidance of doubt, all warranty disclaimers and limitations of liability set forth in the Agreement shall apply with respect to the Add-On.
  5. Support.  For the Neo4j BI Connector, support hours are only applicable to current Neo4j Enterprise customers with an active support contract. Support for the Neo4j BI Connector will be Monday – Friday, 8AM – 6pm PST.
